The ICO identified the issue of cyber as part of the Marriott deal. The Yahool/ Verizon deal wasn’t without its issues either. Cyber is another component of Due Dilligence, but buyer and seller beware as it brings a whole suite of issues if you do the job properly.
A desktop exercise won’t suffice. it’s a bit like buying a second hand car without taking it for a test drive and you won’t get a warranty or cooling off period.
From the buy side you will need to ‘kick the tyres with a level of intrusion which the seller will find very uncomfortable, running your own internal and external hacks’. Which brings it’s own risks for the seller and the deal.
For the seller, it maybe more economic to ensure they have ‘swept the house clean’ beforehand so that there are no skeletons lying around, which will drop the price or add to the list of warrants and penalties.
If companies find it difficult to manage cyber already. How effective will cyber oversight be in the due dilligence process, where there are conflicting agendas.
