Time is short for public firms to address compliance to the SEC final cyber rule. Many registrants do not have the skilled resources necessary to build the programs needed for compliance.

The pressures placed on boards by the rule are significant. They not only require SEC reporting, of material cyber incidents, but material cyber risks. Reporting information that will be evaluated by the regulator. Information that once submitted will be evaluated by other market participants, be that insurance firms, hedge funds, acquirers or activists.

Failure to comply appropriately could lead to boards facing increased legal risk, that D&O insurance is unlikely to cover.
