Delivering a successful of M&A deal has always been difficult. There are many stats which discuss deal success and the delivery of shareholder value, figures range between 50 – 80% of deals failing to deliver improvements in shareholder value. (https://lnkd.in/eck8xWs).

Cyber adds another level of complexity to deal making. Yahoo and Marriott are two recent examples where cyber has resulted in shareholder losses. Both incidents resulted in brand and reputational damage, remediation and legal costs. For Marriott there is the potential of additional regulatory costs from GDPR.

M&A due diligence for Cyber is still in its infancy. But cyber needs to be added to the tool kite. There are plenty of questions which can be asked and tests which can be conducted. The challenge which deal makers face however is the maturity of cyber risk management for many companies is low. Due to the slow take up of cyber security. This leaves the database of known information from a company quite sparse.

But recent releases of CMMi material for Cyber Security assessment are a good starting point. Outlining at least 280 questions to ask to ‘kick the tyres’ to place assurance over cyber.
