Faisal Khan, it’s the ‘G’ in ESG that’s getting more shareholder attention, and in one opinion rightly so. As the G, governance, provides the framework, oversight, assurance and attestation required by boards to demonstrate the management of all other risks.
According to Freshfields Bruckhaus Deringer, shareholders supported considerably more Governance proposals that went to vote that they did Environment and Society.
One believes it is time for boards to adopt more appropriate oversight and assurance of cybersecurity risk through corporate governance. While boards may not feel that Governance proposals are overly prescriptive, some covered boards should be aware that cyber risk management governance is being regulated. Least of all by the U.S Securities and Exchange Commission and EU Parliament, under cybersecurity risk management regulations (2023/ 2025).
