Microsoft updated their 8-K filing made on the 19th of January 2024, yesterday (8th March 2024) to reflect a statement on material risks. (https://lnkd.in/eVVNQTsM)

‘As of the date of this filing, the incident has not had a material impact on the Company’s operations. The Company has not yet determined that the incident is reasonably likely to materially impact the Company’s financial condition or results of operations.’

As one discussed last year with Rachel V. Rose, JD, MBA and @Thaddeus Dziekanowski (https://lnkd.in/e8u6mj4a).

SEC Final Cyber Rule, page 14 & 15, Securities law and likewise set forth in 17 CFR 230.405 (“Securities Act Rule 405”) and 17 CFR 240.12b-2 (“Exchange Act Rule 12b-2”).

Information is material if there is a substantial likelihood that a reasonable investor would consider it important in making an investment decision, or if it would have significantly altered the “total mix” of information made available. A material assessment is made in line with what a reasonable investor would considered material. .

Would a reasonable investor consider source code compromise an important consideration in making an investment?
