It has been a privilege working with U.S Attorney Rachel V. Rose, JD, MBA and Ted Dziekanowski, on the enclosed article published by Bloomberg Law. In which we evaluate the Securities and Exchange Commissions final ruling for cybersecurity (Effective 5th September 2023). The definitions and legal consideration’s for U.S Domestic and Foreign Private Issuers, the requirements for registrants to assess the materiality of cyber risks and incident reporting, and the role of a reasonable investor.

Registrants covered by the ruling are required to accommodate an evaluation of materiality as it relates to them, as would be carried out by a reasonable investor. Before they submit a material cyber incidents (Form 8-K), and when they assess and report material cyber risks to the regulator.

This is not a straight forward exercise, and should be considered in line with a robust cybersecurity risk management framework and associated and cybersecurity standards.
