Why should these articles should raise concerns for board members.
1. Whistleblowers cannot be managed or controlled. Whistleblowers can and will ‘spill the beans’.
2. Companies trading with U.S Federal Government can fall fowl of the False Claims Act (FCA) –  The FCA qui tam provision is one of the strongest whistleblower protection laws in the United States.
3. Cybersecurity is being heavily regulated. Placing the responsibility for cybersecurity and data protection with board members.
4. The generally poor oversight and assurance boards have placed of cyber and data protection may make cyber and data protection compliance an easy regulatory target.
5.. Boards do not want a regulatory inside their organization, that is a likely outcome following a cyber attack.
